1. Business Structure & Merchant Identity
This website (fabricreplacement.com) is owned and operated by ROShades LLC (“Company”, “we”, “us”, or “our”). All commercial transactions, credit card processing, invoices, and billing descriptors will appear as ROShades LLC or FABRICREPLACEMENT. By using our online calculator and submitting an order, you (“Customer”, “Buyer”) agree to the terms set forth below.

2. Made-to-Order & Custom-Cut Product Nature
All products offered on this website—including replacement fabrics and hem bars—are custom-cut and heat-welded specifically to the exact dimensions selected by the Customer.
– Custom Goods Exemption: Because every fabric is cut specifically to order, items have ZERO resale value once processed and cannot be placed back into inventory.
– Final Sale: ALL ORDERS ARE FINAL. No cancellations, modifications, returns, or exchanges are accepted once production begins.

3. Customer Measurement & Conversion Responsibility
The width requested during ordering MUST represent the exact width of your roller shade tube (in inches).
– Measuring Protocol: Customers are strongly advised to use a standard US Imperial measuring tape calibrated in 1/16th-inch increments.
– Fraction Conversion: If measuring with standard line increments, the Customer assumes full responsibility for correct fraction conversion (e.g., understanding that 4 sixteenths equal 1/4 inch, 8 sixteenths equal 1/2 inch, etc.).
– Disclaimer of Error: ROShades LLC is not responsible for misfits, incorrect width/height entries, improper conversions, or erroneous site entries made by the Customer. We will cut the fabric precisely to the specifications entered at checkout.

4. Material Specifications & Color Disclaimer
– Available Materials: We process custom orders strictly for the selected material type: Blackout, Privacy, Screen 1%, Screen 3%, Screen 5%, and Screen 10%.
– Color Specification: All fabrics listed and supplied across these material types are standard WHITE.
– Minor Variations: Industry-standard tolerances apply to fabric thickness, weight, and light transmission ratings.

5. Chargebacks, Disputes, and Unfair Claims
By purchasing from ROShades LLC, the Customer explicitly acknowledges that:
– Chargebacks initiated for “Item Not as Described” or “Wrong Size” due to Customer measuring mistakes or wrong entry in our calculator constitute Fraudulent Chargebacks.
– This Agreement, along with digital logs of the entered dimensions at checkout and proof of delivery, will be submitted directly to credit card processors (Visa, Mastercard, American Express, Discover) as legally binding evidence to defeat any chargeback claim.
– Fraudulent chargeback attempts may be referred to collection agencies or legal council to recover the original order amount, chargeback processing fees ($15-$25), and administrative expenses.

6. Defective or Damaged Goods
If an order arrives with physical shipping damage or a manufacturing defect attributable to ROShades LLC (e.g., fabric cut incorrectly compared to the actual dimensions ordered), the Customer must notify us within 7 days of delivery at sales@fabricreplacement.com with clear photos of the issue and measuring tape alignment. Verified errors on our part will be replaced promptly at no extra charge.
